Description
PPA is an eight page C1 Spanish resource designed for advanced learners who want to work directly with contractual language in a professional and legal context.
The lesson is built around extracts from a Power Purchase Agreement and exposes students to the type of dense, formal Spanish used in sophisticated commercial agreements. The opening sections cover definitions and interpretation, conditions precedent, contractual term and Guarantees of Origin, introducing expressions such as Leyes Aplicables, plena vigencia, cierre financiero, titularidad plena y libre de cargas and en caso de incumplimiento.
Further contractual clauses introduce force majeure, breach and dispute resolution. Students work with language relating to contractual obligations, due diligence, termination, credit guarantees, negotiation and international arbitration.
The exercises move progressively from comprehension and vocabulary to the analysis and production of advanced legal Spanish. Students identify appropriate terminology and distinguish between everyday formulations and more appropriate legal register.
A dedicated sustantivación and nominalización activity develops one of the characteristic features of formal legal writing. Students transform structures such as si una Parte no paga into more formal formulations based on expressions such as la falta de pago por parte de una Parte.
Students also practise specialised prepositional expressions including por parte de, en virtud de, en caso de, sin perjuicio de and con ocasión de, together with legal synonyms and common contractual collocations such as condiciones suspensivas, fuerza mayor, garantÃas de origen, resolución de controversias, plazo de vigencia and terminación anticipada.
The final and most demanding activity presents alternative versions of contractual provisions. Students analyse the language and meaning of each version and select the wording that most accurately reflects the original PPA provisions. The activity covers definitions, conditions precedent, Guarantees of Origin, force majeure, breach and dispute resolution.
