Develop advanced Legal Spanish through the language of commercial companies and Spanish corporate law.
This C1 lesson begins with specialist vocabulary and a listening activity examining different forms of commercial company in Spain, including the Sociedad Anónima, Sociedad Limitada and Sociedad Profesional. Students work with concepts including share capital, non cash contributions, transfer of shares and participations, company officers and professional companies.
The reading section introduces students to the language of Spanish legislation through an extract dealing with structural modifications of commercial companies. It covers transformation, merger, division, global transfer of assets and liabilities, international transfer of the registered office, registration of mergers, responsibility for existing debts and absorption of companies.
Students answer detailed comprehension questions requiring them to interpret formal legislative Spanish and distinguish between closely related legal propositions.
The lesson then moves from comprehension to professional legal language in use. Students analyse expressions found in a model notice convening a general meeting of shareholders, including sito en, en primera convocatoria, de no alcanzarse, al objeto de, acerca de and a contar desde.
The final task develops written Legal Spanish: students draft a convocatoria de una junta general de accionistas using the model and language studied in the lesson.
